1. INTRODUCTION

1.1 This Website is operated by The Institute of Telecommunications Professionals ("THE INSTITUTE OF TELECOMMUNICATIONS PROFESSIONALS") a company registered in England and Wales with its principal place of business at Sunbury TE Green Street Sunbury-on-Thames Middlesex TW16 6QJ and with company registration number 04442329.

1.2 In these terms and conditions ("Terms"): THE INSTITUTE OF TELECOMMUNICATIONS PROFESSIONALS may be referred to as "we" or "us"; "Customer", "user" or "you" refers to the person whose order for Products or Services via this Website is Accepted by ITP or the person using this Website (as the context requires); "Accepted" means acceptance of the order which takes place when the Website indicates that your order for the Products and/or Services has been successful; "Contract" is the agreement containing these Terms and Conditions formed by your order being Accepted by ITP; "Products" are such products as appear as items for sale on this Website (including those listed at paragraph 3 to 5 inclusive), form a part of your order and ITP agree to supply; "Services" are any services available from ITP via this Website (including those listed at paragraph 6).

1.3 These Terms together with our Terms of Use and Privacy Policy (which are incorporated herein by reference) apply to all transactions for the purchase of Products and/or Services on this Website. These Terms replace and take precedence over any other terms or conditions of the Customer, previously applying between the Customer and ITP or evidenced by any course of dealing.

1.4 We may amend these Terms at any time. Any amendments will be effective and apply to orders which are placed subsequently to the amendment and are Accepted by ITP. You will be asked to read and accept the terms and conditions each time you place an order, to ensure that you are familiar with the most current version.

1.5 These Terms do not affect your statutory rights.


2. REGISTRATION

2.1 It will be necessary for you to register with the Website in order to obtain ITP membership  You will be required to submit your first and last names, address, email address, contact telephone number preferred user name and password. You may also purchase Products or Services from us without being a registered member.  Depending on your chosen payment method it may also be necessary to submit your credit card details. All of the foregoing information will be dealt with in accordance with our Privacy Policy.

2.2 Each registration is for a single user only. ITP does not permit you to share your user name and password with any other person, nor with multiple users on a network. Responsibility for the security of any passwords issued rests with you.


3. MEMBERSHIP SUBSCRIPTIONS

3.1 You may purchase a membership subscription to "The Institute of Telecommunications Professionals" for a period of 12 months from the date on which you make such purchase.

3.2 By entering your credit card details when purchasing a membership subscription, you are authorising ITP to deduct the subscription fee from your card.

3.3 Within 2 months of the expiration date for your subscription, we will email you to inform you that your subscription will be due for renewal. You will receive further emails on the status of your membership until it is either a) renewed b) expired.

3.4 Members shall be entitled to a free copy of The Journal which shall be delivered to their registered address each quarter during their membership.

3.5 Please note that we are unable to offer a refund of any subscription fees paid. You may cancel your subscription in any of the following ways:

4. JOURNAL SUBSCRIPTIONS

4.1 Subscriptions to The Journal are available to non-Members for a period of 12 months upon payment of the current subscription fee.

4.2 Subscriptions can be ordered and managed by contacting enquiries@theitp.org

4.3 Your subscription will lapse and expire following delivery of the final issue for that subscription, unless you advise us otherwise.

4.4 The advertised subscription fee includes delivery to the registered address within the UK including the Channel Islands and the Isle of Man. Additional delivery charges may be payable for delivery to addresses outside the UK (including the Channel Islands and the Isle of Man) and these will be confirmed prior to final confirmation of the order.

4.5 We regret that subscriptions cannot be exchanged or refunded after purchase. You may cancel your order in any of the following ways:

5. EVENTS

5.1 ITP may offer for sale tickets to certain events operated by ITP or a third party. In these Terms "ticket" shall include electronic tickets, online ticket confirmations and print-outs of such confirmations.

5.2 Each ticket remains the property of ITP or the venue, promoter, or producer from whom we obtain tickets to sell to you (our "Event Partner") and is a personal revocable licence which may be withdrawn and admission refused at any time upon refunding the purchase price. Tickets may not be resold or offered for resale by anyone whether at a premium or otherwise and may not be used for advertising, promotion (including contests and sweepstakes) or for any other trade purposes. Resale or attempted resale at a price higher than that printed herein is grounds for seizure or cancellation without refund or other compensation. The Event Partner and its affiliates, successors, or assigns may enforce these Terms in accordance with the provisions of the Contracts (Rights of Third Parties) Act 1999 (the "Act"). Except as provided above, these Terms do not create any right enforceable by any person who is not a party to it under the Act, but does not affect any right or remedy that a third party has which exists or is available apart from that Act.

5.3 When purchasing tickets on this Website, you are limited to a specified number of tickets for each event. This policy is in effect to discourage unfair ticket buying practices.

5.4 If you have not received confirmation within 48 hours of placing your order, please contact us enquiries@theitp.org as soon as possible. E tickets for seminars and other ITP events will be sent 1 week prior to each event. For information about a purchase you've made, contact us enquiries@theitp.org, quoting your order number given to you at the conclusion of placing an order.

5.5 It is your responsibility to ascertain whether an event has been cancelled and the date and time of any rearranged event.

5.6 If an event is cancelled or rescheduled, we will use reasonable endeavours to notify ticket holders of the cancellation subject where necessary to receipt of the relevant authorisation from the Event Partner. We do not guarantee that ticket holders will be informed of such cancellation before the date of the event.

5.7 We regret that tickets cannot be exchanged or refunded after purchase unless the event is cancelled. If the event is cancelled, ticket holders will be offered seats at any rescheduled event (if any and subject to availability) up to the face value of the tickets or, if the ticket holder is unable to attend the rescheduled event or the event is not rescheduled, a full refund. Full refunds for tickets purchased prior to the date of the original event will be given up to the face value of the tickets purchased. If you are unable to attend a rescheduled event you must inform us by e-mailing us at enquiries@theitp.org or writing to us at The Institute of Telecommunications Professionals Sunbury TE Green Street Sunbury-on-Thames Middlesex TW16 6QJ, in order to claim your refund. You must enclose your unused tickets. Refunds for cancelled events will be provided as a matter of course. This does not affect your statutory rights.

5.8 Each ticket is issued subject to the rules and regulations of the venue and Event Partner (where applicable). Full details are available on the Website or by contacting us by one of the methods listed herein. Breach of any of these rules and regulations or any unacceptable behaviour likely to cause damage, nuisance or injury shall entitle the venue or Event Partner to eject you from the venue.

5.9 ITP and the venue reserve the right to refuse admission should patrons breach any rules and regulations of the venue, ITP or the Event Partner. The venue may on occasions have to conduct security searches to ensure the safety of the patrons.

5.10 Tickets are sold subject to the venue, ITP or the Event Partner's right to alter or vary the programme due to events or circumstances beyond its reasonable control without being obliged to refund monies or exchange tickets.

5.11 Every effort to admit latecomers will be made at a suitable break in the event, but admission cannot always be guaranteed.

5.12 The unauthorised use of photographic and recording equipment is prohibited. Tapes or films may be destroyed. Laser pens, mobile phones, dogs (except guide dogs) and patron's own food and drink may also be prohibited (please check with the venue).

5.13 You consent to filming and sound recording as members of the audience.

5.14 We will not be responsible for any tickets that are lost or stolen.

5.15 The venue, Event Partner and ITP accept no responsibility for any loss or damage to personal property.

5.16 Tickets may be restricted to a maximum number per person. We reserve the right to cancel tickets without prior notice purchased in excess of this number.

5.17 Neither the venue, the Event Partner, nor ITP shall have any liability beyond the face value of the ticket purchased plus the relevant per ticket booking fee and the exclusions and limitations of liability set out in paragraph 10 shall apply.


6. EDUCATIONAL RESOURCES

6.1 The educational resources are proprietary to ITP or its licensors and may not be copied, photocopied or reproduced in any form or by any means without the prior written consent of ITP. The educational resources are provided for personal use only, unless expressly agreed otherwise with ITP.

6.2 Every effort has been made to ensure complete and accurate information concerning the material presented in these courses. However, the course material may include inaccuracies or typographical errors and ITP cannot be held responsible for such. ITP may make improvements and/or changes in the course material described in this Website at any time without notice.

6.3 Companies, names and data appearing within the educational resources are fictitious unless otherwise stated.

6.4 The educational resources are designed to familiarise the user with certain topics within the telecommunications industry. No reliance should be placed upon the accuracy of such materials which by their nature only provide cursory and incomplete information on any topic.

6.5 There are no warranties, expressed or implied, including warranties of merchantability or fitness for a particular purpose, made with respect to the educational resources or any information provided to the user herein.

6.6 You are advised not to rely for any purpose on the site or the educational resources. ITP will not be liable for any damages of any kind arising out of or relating to the use or the inability to use this site or the educational resources including but not limited to damages caused by or related to errors, omissions, interruptions, defects, delays in operation or transmission, computer virus, line failure, and all other indirect, special, incidental, punitive or consequential damages, whether arising in tort (including negligence), contract, or otherwise, including without limitation any loss of income, lost profits, business interruption, loss of any user information or other data, even if ITP or a ITP authorised representative has been advised of the possibility of such damages.

6.7 We regret that ITP cannot offer any exchange or refund after purchase of access to the educational resources. In the event that technical problems with ITP's systems result in you not being able to view the educational resources ITP may in its absolute discretion procure that access to the educational resources be re-provided. You are not entitled to cancel your purchase of educational resources pursuant to the Consumer Protection Distance Selling Regulations 2000 as the content cannot be returned once sent.

6.8 Under no circumstances whatsoever shall you distribute the educational resources contained within this site. Each course is individually licensed and ITP reserves the right to cancel or suspend any account which is in breach of these Terms without notice.

6.9 ITP shall not be liable for any damages suffered as a result of using, copying, distributing, or downloading the content of the website.

6.10 You have sole responsibility for adequate protection and backup of data and/or equipment used in connection with the website and will not make a claim against us for lost data, re-run time, inaccurate instruction, work delays or lost profits resulting from the use of the courses.


7. PRICE AND PAYMENT

7.1 The price for Products and Services shall be the current relevant price at the date and time of acceptance of your order by us. Prices are shown in pounds sterling (£) and include VAT (if any) but exclude delivery costs and duty and other applicable taxes levies or charges payable, unless otherwise specified. You agree to pay such of the above charges as are applicable to your purchase of the Products and/or Services. Prices are subject to change without notice.

7.2 The total amount payable shall be displayed prior to placing your order and will be the sum of the price of the Products and/or Services and the applicable delivery charge. Products and Services are subject to availability.

7.3 We accept payment by those methods displayed upon the payment screen. Your payments will be processed by Sage Pay Limited and you should be aware that the name "Sage Pay Limited" may appear upon your credit card or bank statements.


8. ORDER PROCESS AND ACCEPTANCE

8.1 Orders will be submitted for the Products and/or Services you have selected by clicking the "Confirm" button when prompted and completing the required fields (including submitting registration details) as indicated on the subsequent pages. Your order may be amended at any time up to this point. We may use certain information about you, including any information obtained from credit reference agencies in deciding whether or not to accept your order. It may be necessary to pass your details to such agencies (or other third parties whether in or outside the EEA) in order to check them against information held by or available to them. This helps to prevent against fraudulent transactions for the benefit of both you and us.

8.2 You will be notified as to whether or not your order has been accepted. We reserve the right to accept or refuse any order at our absolute discretion. If your order has been refused the Website will indicate this.


9. DELIVERY

9.1 Physical Products such as The Journal and any tickets for Events (where applicable) will be delivered to delivery addresses throughout the world. We will use our discretion in deciding appropriate means of delivery for the items to be delivered. We may deliver one or more items from your order separately if we deem necessary. Each item delivered in this way will be treated as the subject of a separate contract and any delay or inability on our part to deliver the other items will not affect those items already or yet to be delivered.

9.2 The applicable delivery charge will be added automatically to the sum of your Products and/or Services. You will be able to view the price of the Products, Services and the delivery charge separately before submitting your order.


10. LIMITATION OF LIABILITY

10.1 Neither ITP, nor any third-party content providers or licensors makes any warranty whatsoever, including without limitation, that the operation of the Website will be uninterrupted or error-free; that defects will be corrected; that this Website, including the server that makes it available, is free of viruses or other harmful components; as to the results that may be obtained from use of the content or other materials on the Website; or as to the accuracy, completeness, reliability, availability, suitability, quality, non-infringement or operation of any content, product or service provided on or accessible from the Website.

10.2 THIS WEBSITE AND ALL CONTENT, PRODUCTS AND SERVICES INCLUDED IN OR ACCESSIBLE FROM THIS SITE ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND (EXPRESS, IMPLIED AND STATUTORY, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF TITLE AND NONINFRINGEMENT AND THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE), ALL OF WHICH ITP DISCLAIMS TO THE FULLEST EXTENT PERMITTED BY LAW. 10.3 To the extent permissible under applicable laws, no responsibility is assumed for any injury and/or damage to persons or property as a matter of product liability, negligence or otherwise, or from any use or operation of any ideas, instructions, methods, products or procedures contained in the Website.

10.4 NEITHER ITP NOR ANY OF ITS LICENSORS SHALL BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS OR INJURY, CAUSED IN WHOLE OR PART BY ITS NEGLIGENCE OR CONTINGENCIES BEYOND ITS CONTROL IN PROCURING, COMPILING, INTERPRETING, REPORTING OR DELIVERING INFORMATION THROUGH THE WEBSITE. IN NO EVENT WILL ITP OR ITS LICENSORS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON SUCH INFORMATION. 11.1 All intellectual property rights in the design and layout of the Website and the material and information published on the pages of the Website, including, but not limited to, copyright and rights in registered and unregistered trademarks, are owned by or licensed to ITP. The compilation of all content appearing on this Website is proprietary and protected by international and UK copyright and database right laws.

11.2 Save as may be incidental to you obtaining authorised access to the content on the Website or expressly provided herein, you must not reproduce, download, transmit or retransmit, manipulate or store on paper, electronic (including, but not limited to any database or any part of the Internet), CD Rom or other offline product on any other format in whole or in part the design and layout of the Website or the information or material published on the pages of it without the prior written consent of ITP, such permission to be given or withheld at ITP's absolute discretion.

11.3 The Institute of Telecommunications ProfessionalsTM, ITPTM, The JournalTM and ITP Apprenticeships TM are trademarks of ITP or its group companies which may be registered in the UK or other jurisdictions. All other trademarks used on the Website are the property of their respective owners.


12. INDEMNITY

12.1 You agree to indemnify and hold us and any of our officers, employees and agents harmless from and against all and any expenses, losses, liabilities, damages, costs or expenses incurred or suffered and any claims or legal proceedings which are brought or threatened, in each case arising from your use of, or conduct on, the Websites and/or a breach of these Terms.


13. GENERAL

13.1 While ITP endeavours to ensure that this Website is normally available 24 hours a day, ITP shall not be liable if for any reason this Website is unavailable at any time or for any period.

13.2 Access to this Website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond ITP's control.

13.3 If all or any part of one or more of these Terms is or becomes illegal, invalid or unenforceable under any applicable law or regulation of any jurisdiction or country or with respect to a certain category of persons, such provision or part thereof shall be interpreted in a manner to avoid the illegality, invalidity or unenforceability or if impossible, shall be deemed not to apply. This shall not affect or impair the legality, validity or enforceability of the remaining Terms or parts thereof.

13.4 All goods and services are subject to availability. We reserve the right to require the Customer return any Product if the credit card provider declines payment or requires us to return any payment made for any reason whatsoever.

13.5 ITP reserves the right to assign or transfer all or any of its rights and obligations under these Terms to any of its group companies or to any other third party. In the event of assignment or transfer, notification will either be given to you by e-mail or posted on the Website.

13.6 We will not be held responsible for any delay or failure to comply with our obligations hereunder which arise from any cause which is beyond our reasonable control.

13.7 Failure by ITP to exercise or enforce any right conferred upon it shall not be deemed to be a waiver of any such right nor operate so as to bar the exercise or enforcement of that or any other right on any later occasion.


14. GOVERNING LAW AND JURISDICTION

14.1 These Terms shall be governed by and construed in accordance with the law of England and Wales. Disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the English courts.
